Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SyncFlies ("Service," "we," "our," or "us"), a service that synchronizes meeting transcripts from Fireflies.ai to Notion. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

Use of Service

Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

Account Registration

• You must create an account to use our Service
• You must provide accurate, complete, and current information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach

Third-Party Integrations

Our Service requires integration with Fireflies.ai and Notion. You must:

• Have valid accounts with both Fireflies.ai and Notion
• Grant us necessary permissions to access your data on these platforms
• Comply with the terms of service of both Fireflies.ai and Notion
• Understand that we are not responsible for the functionality or availability of these third-party services

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Service or servers
• Use automated scripts or bots to access the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to spam, harass, or harm others
• Resell, rent, or lease access to the Service without authorization
• Remove or alter any copyright, trademark, or proprietary notices

Subscriptions and Payments

Subscription Plans

We offer various subscription plans with different features and usage limits. Details of each plan are available on our pricing page. You may upgrade, downgrade, or cancel your subscription at any time through your account settings.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed securely through Stripe
• You authorize us to charge your payment method for all fees
• All fees are non-refundable unless required by law
• We reserve the right to change our pricing with 30 days' notice

Usage Limits

Each subscription plan includes specific usage limits (e.g., number of syncs per month). If you exceed your plan's limits, we may:

• Temporarily suspend syncing until your next billing cycle
• Prompt you to upgrade to a higher tier plan
• Charge additional fees for overage (if applicable to your plan)

Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• You will retain access to paid features until the end of the billing period
• No refunds are provided for partial months or unused services
• We may offer refunds at our sole discretion

Data and Content

Your Data

You retain all rights to your meeting transcripts and data. By using our Service, you grant us a limited license to access, process, and transfer your data solely for the purpose of providing the synchronization service.

Data Processing

We will:

• Process your data only as necessary to provide the Service
• Implement appropriate security measures to protect your data
• Not sell or share your data with third parties except as described in our Privacy Policy
• Delete your data upon account termination (subject to legal retention requirements)

Data Accuracy

We strive to accurately transfer your data from Fireflies.ai to Notion. However, we do not guarantee the accuracy, completeness, or timeliness of the synchronized data. You are responsible for verifying the accuracy of synchronized content.

Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content (excluding your data), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Disclaimers and Limitations

Service Availability

The Service is provided "as is" and "as available." We do not guarantee that the Service will be:

• Available at all times without interruption
• Error-free or free from bugs or defects
• Compatible with all devices or configurations
• Meeting your specific requirements or expectations

Third-Party Dependencies

Our Service depends on Fireflies.ai and Notion APIs. We are not responsible for:

• Outages or downtime of these third-party services
• Changes to their APIs or terms of service
• Loss of data due to third-party service failures
• Restrictions or limitations imposed by these services

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Service interruptions or downtime
• Errors, bugs, or inaccuracies in the Service
• Third-party conduct or content

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless SyncFlies and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

Termination

Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse or misuse of the Service
• Extended periods of inactivity

Effect of Termination

Upon termination:

• Your access to the Service will immediately cease
• We will delete your account data within 30 days
• You remain liable for any outstanding fees
• Sections of these Terms that by their nature should survive will continue to apply

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email notification to your registered email address
• Displaying a notice in your account dashboard

Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at support@syncflies.com and attempt to resolve the issue informally for at least 30 days.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where SyncFlies is registered, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization]. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SyncFlies regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
